Job Description

This role is accountable for providing support from a governance perspective and providing company secretarial services for the Old Mutual Life Assurance Company (Malawi) Limited and Old Mutual Pension Services Company Limited. The incumbent is individually accountable for achieving results through own efforts. The role is tenable in Blantyre and the incumbent will be reporting directly to the Corporate Governance Executive & Company Secretary.

Company Secretarial Role

Support the Company Secretary in delivering company secretarial and administrative services across a Group of companies.
Act as Company Secretary for designated entities and their Committees.
Facilitate the smooth running of meeting, including preparation of agendas, minutes, resolutions.
Ensure compliance with statutory requirements & corporate governance standards, providing guidance to Directors and Executives on their duties and responsibilities.
Maintain and oversee statutory records and registers, ensure timely filing of statutory returns.
Coordinate the establishment of new subsidiary companies and investment vehicles.
Maintain databases of information relating to Directors, Trustees, subsidiary companies, trusts, signing powers, and other governance matters returns in particular assisting Directors & Executives to understand their duties & responsibilities as required.
