THE CONSTITUTION OF NEW HOPE CHILD OUTREACH ORGANIZATION OF UGANDA (NHCO) MAFUBIRA SUB COUNTY JINJA DISTRICT TEL: +256753680544 “GOD’S RESTORATION’’ PREAMBLE Realizing the stigma, lack and psychological torture and rob of joy of orphans and vulnerable children in Africa and also realizing the need to advocate for equal opportunities, involvement and participation in decision making, social, political, economical and cultural activities. We hereby commit ourselves into forming an organization which will be referred to as NEW HOPE CHILD OUTREACH ORGANIZATION and will be abbreviated as NHCO to address the said concerns. ARTICLE. ONE: NAME OF THE ORGANISATION  The organization will be called NEW HOPE CHILD OUTREACH ORGANIZATION with the acronym NEW HOPE CHILD OUTREACH ORGANIZATION will have its headquarters located in the Republic of Uganda in Jinja district, Mafubira Sub-County, Mafubira parish, Mafubira along the Jinja-Kamuli highway  Below shall be address of the organization; NEW HOPE CHILD OUTREACH ORGANIZATION P. BOX ……… JINJA (UGANDA) EAST AFRICA, AFRICA TEL; +256753680544 ARTICLE.TWO: BACKGROUND NEW HOPE CHILD OUTREACH ORGANIZATION is a child focused initiative which is local, national, international CBO/NGO with its head office in Jinja, Mafubira Sub County, Mafubira Parish, and The organization was started in jinja Uganda by abbu kawesa after being faced with a big challenge of orphans and vulnerable children who are not accessing formal education and living in appalling situation, due to HIV/AIDS scourge and would like to access formal education and we together believe that the most viable way to liberate the Orphans and Vulnerable Children (OVC), street children, youths of Africa is to directly invest in their formal education for this will widen their horizons and opportunities, support the youth engage in income generating activities and mobilizing the children from streets back home and camps . In by God’s grace abbu kawesa started up a children project having decided in Jan 2014 to help fourteen orphans and was joined by other developmental youths and women with the same idea and together as they decided to start up a new project and enlarged on the children. ARTICLE .THREE: VISION, MISSION AND GOAL • VISION Enterprising, confident and informed citizens that cherish unity, peace, accountability, justice and sharing with appropriate skills to efficiently and effectively utilize the available resources, collaborate and participate in social, economic and political development so as to achieve self esteem and reliance. • MISSION To reach out to all kinds of HIV/AIDS afflicted people in both rural and urban communities to build hope, foster and promote good health, psychological and social economic prosperity of orphans while protecting their rights. • GOAL To reduce stigma, psychological torture among the orphans and vulnerable children in order to build hope that will help them regain their lost glory through provision of basic needs of life that’s to say shelter, food, education, medical care, clothing etc. ARTICLE.FOUR: OBJECTIVES 1) To advocate for equal opportunities, involvement and participation in social, political and economic activities. 2) To impact life skills and values that will help orphans and vulnerable children fight life challenges like HIV/AIDS, drug abuse, peer influence, and immorality. 3) Advocating and creating for articulating orphans’ concerns, issues, rights and interests. 4) To create awareness of societal values that will produce morally upright and socially acceptable children. 5) Capacity building in orphans for efficient and effective operations and development. 6) To provide venues of talent building through establishment of programmes. 7) Networking with local as well as international development institutions like NGO’s, local councils, government, bilateral and multilateral agencies. 8) To promote skills development in areas of leadership, planning, advocacy, gender, income generation, project management and undertake community based activities aimed at improving the socio-economic status and self reliance of the orphans. 9) To promote voluntary action and work in partnership with economically disadvantaged groups most especially youths and widows. ARTICLE.FIVE: STRATEGIC AREAS AND ACTIVITIES The organization shall engage in the following activities  Practicing poultry, Food cultivation and Dairy farming.  Piggery  Fruit growing. (Mangos, Oranges, and Passion fruits)  Empower the care givers of orphans and vulnerable children (OVCs)  To save orphans from frustrational conditions or engagements and all sorts of risks to their lives. Other areas to look at are:  BASIC NEEDS New Hope Child Outreach Organization will focus on basic needs of orphans and vulnerable children that impact on the lives and well being of the orphans especially the poor, stigmatized and marginalized including; Health awareness like HIV/AID, Primary Health Care, Reproductive health etc.  CAPACITY BUILDING. New Hope Child Outreach Organization will empower and strengthen partners e.g. communities, CBO’s, private sector organizations and local organizations and local governments through capacity building programs for effective service delivery and implementation of income generating projects/ activities.  PARTNERSHIP The implementation of this project will employ the principles of participation and partnerships where all stakeholders are involved as a team at all stages of the program / [project cycle. Key partners will include; the government, National and International organizations, private sectors and civil society organizations, local councils and the community at large.  PUBLIC AWARENESS/PUBLICITY New Hope Child Outreach Organization will participate and contribute to publicizing orphans’ concerns / issues through major events, networks and literature to raise community awareness.  CAREER GUIDANCE & COUNSELLING The fact that the loss of a parent(s) is loss of hope for a better future, therefore New Hope Child Outreach Organization will address this issue through counseling services accompanied by provision of the basic needs to the orphans and vulnerable children like scholastic needs and dues. ARTICLE.SIX: MEMBERSHIP  The subscribers to this constitution and such other persons as the board shall deem to have fulfilled will be the entry requirement of the members of the organization. Such members shall enter into written contract with the organization.  Members shall be of good character with integrity and shall at all times abide and wholeheartedly carry out the provisions of this constitution.  Admission to membership of the organization shall not be restricted by Nationality, race, color, sex, and language, political or religious affiliations. A).CATEGORY OF MEMBERSHIP  Founder members Shall have been at the creation of the organization and writing of this constitution and will be life members. Shall sit on the first four years of the board liable to re-election subject to performance. Upon meeting the requirements of the constitution including payment of membership dues.  Associate Members. The board may register any other person in any other organization with similar views primitive of New Hope Child Outreach Organization B). ROLES OF MEMBERS  To uphold the constitution.  To participate in all meetings and activities of the organization.  To elect or be elected to elective positions which elections shall be by secret ballot?  Names shall be nominated and seconded before voting.  There shall be no voting by proxy. c). TERMINATION OF MEMBERSHIP  A person shall automatically cease to be a member if he/she does any of the following:- a) Signifies his/her wish in writing to the chairperson. b) Is declared bankrupt. c) Establishes a business that prejudices the interests of the organization.  The board may on 2/3 majority role of members in the meeting and vote by ballot, terminate the membership of any member who for any reason ceases to maintain a close relation with the organization or ceases to satisfy the requirement of members or who in any way brings discredit to the organization or endangers its welfare and progress nor withstanding such action can only be taken after:- a) Causing an investigation into the allegation against him/her. b) Giving to the member concerned reasonable notice and opportunity for a personnel hearing before the Board if the member shall so desire. ARTICLE.SEVEN: MANAGEMENT AND ADMINSTRATION I. The Board of Directors (BOD). II. The BOD shall be composed of founder members of the organization. III. The BOD may by ordinary resolution appoint any person to be director, either to fill a casual vacancy or as an addition to the existing directors subject to confirmation at the AGM IV. The office of the Board members shall fall vacant by reason of, among others:-  Death  When he /she is proved to be insane.  If he/she is incapacitated by a prolonged illness, bad testimony, irresponsibility, corruption or any other related act which requires him/her to be relieved from duty.  If he/she resigns will by tendering in his/her resignation letter to the BOD in not less than one month to the effect. (v) The board of directors shall be composed of seven members that’s to say • Executive Director • Administrative Director • General Secretary • Four(4) board members ARTICLE.EIGHT: DUTIES OF THE EXECTIVE COMMITTEE A). EXECUTIVE DIRECTOR  Shall be the head of the organization activities.  Shall be in charge of overseeing the implementation of all organization plans.  Shall monitor the progress and performance of all activities of the organization.  Shall be the principle signatory of New Hope Child Outreach Organization account and shall be the head of all finances of the organization.  Shall identify and present viable projects to the board for consideration and implementation.  Shall carryout the coordination role of the organization to other development partners for the good of the organization.  Shall carryout any other duties assigned to him/her by the BOD. B). ADMINSTRATIVE DIRECTOR  Shall act in the absence of the Executive Director.  Shall assist the Executive Director in his duties. C). GENERAL SECRETARY  Shall be in charge of all the secretarial work of the organization.  Shall keep all official correspondence and documents of the organization.  Shall keep an up-to-date register of all the members of the organization.  Shall in consultation with the director call all meetings.  Shall carryout special duties assigned to him/her by the director and the BOD.  Shall be signatory to the organization account. D). PROGRAMME MANAGER  Shall be responsible for day to day management and operations of the project activities and will report to the BOD of New Hope Child Outreach Organization.  Shall support the Director in implementing decisions of the BOD and local steering committees, facilitating, monitor and supervise the implementation of activities by partner institutional and organization at local level.  Shall initiate, establish work plans which shall be approved by the BOD.  Shall develop proposals and raise funds for their respective projects in line with the organization policies and planned activities.  Shall be signatory to the organization account. E). FINACIAL CONTROLLER  Shall be the financial controller and advisor of the organization.  Initiate policies and activities aimed at promoting a financially sustainable and independent organization.  Shall design means of lobbying for funds or the organization through fundraising and writing proposals.  Shall collect, receive and handle organization monies, grants, donations and ensure that they are kept in safe custody.  Be a signatory to all accounts of the organization.  Responsible for producing a budget for the organization.  Shall keep proper records of accounts and shall present an audited financial statement as required by the Board. ARTICLE.NINE: LOGO, STAMP, AND SEAL. The organization shall have a logo, stamp and seal • The organization shall run and maintain a rubber stamp as its seal. • The logo, stamp and seal shall be in custody of the Executive Director. AGM ARTICLE .TEN: BOOKS OF ACCOUNTS  The organization shall cause proper books of accounts to be kept of all monies received and of assets and liabilities.  The books of account shall be at the organization’s headquarters/office or other places determined by the BOD and shall be available for inspection by any member of the BOD.  The BOD shall select a bank in which to maintain the organization account and determine the signatories and the manner in which the account will be managed liable for approval at the AGM.  Audited account shall be presented at the AGM  The BOD shall identify and appoint a suitable auditor and determine the remuneration to pay such auditor to be approved at the AGM.  The BOD shall employ the services of a legal advisor whenever need arises.  Shall show the assets and liabilities of the organization.  Shall show the sale and purchase of goods and services of the organization. ARTICLE.ELEVEN: MEETINGS  The BOD will be meeting at least once a year (annually). The General meeting shall be the supreme authority of the organization.  The BOD shall meet from time to time as they deem fit and the quorum shall be four.  The Agenda for the ordinary meetings shall be communicated at least two weeks in advance while the emergency meetings at least two days.  The General Secretary shall keep all minutes in safe custody.  Matters where consensus has not been reached shall be decided by majority vote and in cases of equal votes, the chairperson shall have a second casting vote.  QUORUM • Quorum at AGM shall be 2/3 of registered members. • Quorum at Board meetings shall be 4/7 of registered members of the Board. • Extraordinary meeting shall have its quorum at ½ of the registered members. ARTICLE. TWELVE: STANDING ORDERS  The standing orders below shall be guidelines upon which the meeting of New Hope Child Outreach Organization shall be conducted.  All New Hope Child Outreach Organization meetings shall open with a prayer decided by the person leading the prayer. A). INTERPRETATION OF THE CONSTITUTION. Within this constitution the plain mathematical figures mark the article, the mathematical figure with decimals mark the section and the small Romans mark the subsections and the small alphabets mark the clause so the quoting in this constitution during or outside the meetings or the arrangement like 6.2(i)(a) shall be quoted as Article Six, Section two, Subsection one, clause (a).  A competent member of the organization shall interpret the constitution with the help of a small committee.  Should need arise, such person shall be hired where members don’t seem to clearly understand the constitution. B). ORDER OF BUSINESS  The Agenda shall be read, discussed and approved before the commencement of the meeting.  Suspension of standing orders. Standing orders shall be suspended if 60% of the members present at the meeting so agree. C). MINUTES OF PREVIOUS MEETING The coordinator shall read minutes of the previous meeting in the current meeting as provided in the Agenda and corrections made before approval and singing. ARTICLE.THIRTEEN: PATRON  The Executive Director of the organization shall nominate names for founder/patron of New Hope Child Outreach Organization, when the BOD fails to resolve any conflict within New Hope Child Outreach Organization such conflict shall be referred to the patron for wise counsel. ARTICLE. FOURTEEN: DISCIPLINE AND RESIGNATION  All members of the organization shall abide by the provisions herein and shall be required to exhibit acceptable standard.  Any member who contravenes the provisions herein shall be guilty of serious misconduct and shall be forwarded to the BOD which will act as a Disciplinary Committee and hence further take appropriate action.  Members of the organization who intend to resign shall be required to give a one-month notice in writing to the organization’s manager. ARTICLE.FIFTEEN: AMENDMENT OF THE CONSTITUTION  Amendments to this constitution shall be made at a general assembly on a vote of at least 2/3 of the members present at the meeting and legible for voting.  All proposed amendments shall be made in writing and presented to the BOD at least three months before the meeting at which they are discussed and circulated to members with the agenda at least a month before the General Assembly. ARTICLE SIXTEEN: DISSOLUTION  Upon winding up of business, the organization shall hand over its property to any other organization with similar aims and objectives.  Where need arises, the liabilities of the organization shall be shared amongst the members.  All the above shall be done with the full endorsement of the AGM. ARTICLE.SEVENTEEN: THE ORGANIZATION OATH I abbu kawesa on being elected to the office of Director do hereby do solemnly swear and besiege the guidance of GOD to truthfully and diligently execute the duties conferred upon me by the electorate with determination, dedication and integrity without fear or favor and to uphold and defend New Hope Child Outreach Organization constitution and all that it represents to the best of my knowledge and ability, So help me GOD. .
