Subject: Brand Transfer Agreement: Black Gold Garlic to Black Garlic USA
I, Stephen Paprocki,the owner of the brand “Black Gold Garlic,” hereby formally transfer ownership of the brand, including its associated intellectual property, trademarks, recipes, marketing materials, and goodwill, to the newly established entity “Black Garlic USA,” effective immediately.
This transfer is being executed to consolidate operations under Black Garlic USA, which will carry forward the mission and values of the original brand while expanding its market presence and operations.
By this agreement, all rights, responsibilities, and obligations associated with Black Gold Garlic will be assumed by Black Garlic USA. This includes the authority to use the name, logos, and any proprietary processes or materials developed under the Black Gold Garlic brand.
Please let this letter serve as the official documentation of this transfer. A detailed transfer agreement will be maintained for internal records.
