Beneficial Ownership Disclosure:
The Companies and Intellectual Property Commission (CIPC) in South Africa requires companies to disclose their beneficial ownership to improve transparency and prevent financial crimes.
Who is a Beneficial Owner?
An individual who directly or indirectly owns or controls at least 5% of a company’s securities, voting rights, or board decisions.
Who Must Report?
All registered companies and close corporations.
Affected companies (public companies, state-owned enterprises, and private companies with significant share transfers) must maintain a beneficial ownership register.
Non-affected companies record beneficial owners in their securities register.
Exemptions: Companies listed on a stock exchange may be exempt.
How to Report?
New companies: Must report within 10 business days of incorporation.
Existing companies: Must update records when ownership changes.
Non-compliance penalties: Up to 10% of turnover or R1 million, and possible deregistration.
Companies should comply promptly to avoid penalties and support corporate transparency.
